InHouse Calls Terms and Conditions

Definations

Inhouse Calls – Inhouse Calls Limited (company Number: 15244162) of 20 Wenlock Road London N1 7GU.
Customer – a person or company or organization who contracts with Inhouse Calls to use their services.
Contract – An agreement between the Customer and Inhouse Calls for Inhouse Calls to supply services to Customer in accordance with Inhouse Calls Terms and Conditions.
Terms and Conditions – Inhouse Calls general terms in writing.
Services – The services provided by Inhouse Calls which the Customer purchases. These are generally to include Telephone answering or dictational services and any other services confirmed in writing by Inhouse Calls.
Law – The laws of England and Wales shall apply to any agreement between Inhouse Calls and Customer.
Billing date – the last Friday of each month when the invoice is issued and payment for services becomes due, or any other date agreed between the parties.

Acceptance of Terms and Conditions

Inhouse Calls’ commencement of the provisions of services provided to Customer constitutes an offer to supply services to the Customer subject to any other agreement made between the parties in writing and in accordance with this agreement and the Customer’s communication whether expressed or implied (latter by using the services) will constitute acceptance of these Terms and Conditions.
It is the responsibility of the Customer to ensure that they have read and understood Inhouse Calls Terms and Conditions. If the Customer has any concerns with the Terms and Conditions, they should contact Inhouse Calls before accepting any of Inhouse Calls’ services. If the Customer accepts any of Inhouse Calls’ services this shall constitute that the Customer has confirmed that they have read, understood, and accepted Inhouse Calls’ Terms and Conditions and the Customer shall be bound by the Terms and Conditions.

Customer’s Obligation

The Customer must cooperate with Inhouse Calls in providing all the relevant information in allowing Inhouse Calls to perform the services to the Customer. Customer’s cooperation will also include following Inhouse Calls’ instructions. The Customer shall indemnify Inhouse Calls against any claims and losses which occur as a result of the Customer.

Termination

The Customer shall give Inhouse Calls 28 days’ notice of next month’s billing date in writing that they wish to terminate the service. Inhouse Calls may terminate the agreement should:
- The Customer fail to pay any amount due under the Contract on the due date of invoice and the invoice remains unpaid 10 days after Inhouse Calls have requested payment in writing,
- The Customer become subject to insolvency proceedings,
- The Customer breach any term of the Terms and Conditions,
- The Customer be involved in any illegal activity.
On termination, the Customer shall immediately pay Inhouse Calls any outstanding amount of money owed to Inhouse Calls for services provided to the Customer.

Limitation of Liability

Inhouse Calls shall not be liable for any loss suffered by the Customer except for death and personal injury.

Employment Restriction

The Customer shall not without the prior consent of Inhouse Calls solicit the employment of any person who shall be employee or subcontractor or anyone offering Inhouse Calls’ services unless 12 months’ have lapsed between the Contract. Should the Customer commit a breach under this heading, the Customer shall be liable to pay Inhouse Calls for any loss Inhouse Calls suffers as a result of the breach.

Force Majeure

Inhouse Calls shall not be liable for any failure which results beyond their reasonable control.

Changes

Inhouse Calls may change or modify any of their Terms and Conditions which shall be effective immediately once uploaded to their website. Inhouse Calls may communicate any of the changes with the Customer.
